Terms and Conditions

Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE SIGNING UP FOR THE SERVICE, THE LIVE STREAMING SERVICE OR PLACING AN ORDER FOR PRODUCTS.  PLEASE NOTE THAT CLAUSE 17 LIMITS OUR LIABILITY.

This page (together with any other documents referred to in it) tells you information about us and the legal terms and conditions (Terms) on which we supply the Scripin Weddings service (Service); the Scripin Wedding Live Streaming Service (Live Streaming Service); and any printed products you order (Products) to you. These Terms will apply to any contract between us for the supply to you through the website at scripinweddings.com (Website) of the Service, the Live Streaming Service and any contract for the supply of the Products (Contract).

Please read these Terms carefully and make sure that you understand them before signing up for the Service, the Live Streaming Service or placing an order for Products. Before doing so, you will be asked to agree to these Terms. If you refuse to accept these Terms, you will not be able to use the Service, the Live Streaming Service or place an order for Products (as applicable).

You should print a copy of these Terms or save them to your computer for future reference. We may amend these Terms from time to time and the top of this page shows when they were last updated. Every time you wish to use the Service, the Live Streaming Service or order Products, please check these Terms to ensure you understand the terms which will apply at that time.

These Terms, and any Contract between us, are only in the English language.

1.Information about us

1.1The Service, the Live Streaming Service and the Products are supplied by Ruud Enterprise Ltd (we, our or us), a company registered in England and Wales under company number 8647609. Our registered office is 20-22 Wenlock Road, London N1 7GU, United Kingdom. Our VAT number is 171 7685 80.

2.Contacting us and communications between us

2.1If you wish to contact us for any reason, including because you have a complaint, you can do so by e-mailing us at eventsupport@scripin.com.  Complaints may also be submitted through the EU’s Online Dispute Resolution platform.

2.2Any communication or notice in writing should be given in accordance with clause 19.

3.The Service

3.1The Service is designed to be used at an event lasting up to a maximum of 144 hours (Event). It allows you, as the host of an Event or a party involved in the organisation, promotion or operation of an Event, to display a stream of photos and/or videos (Media), which have been contributed by attendees at and during the Event (Attendees) using the Scripin Events mobile application (App), on screen(s) at the Event. 

3.2Using the App, Media may also be shared between Attendees and they can comment on and interact with such Media, share Media on specified social media and download such Media.  

3.3After an Event, all Media and other content contributed by Attendees at the Event (together, Content) will be made available to you to export, and to you and to Attendees to order Products.

3.4The Service as supplied through the Website is on a self-service basis.  You will be given access to its software platform through the Website but you are responsible for:

(a)the set-up process for any Event and for any features you wish to use;

(b)on-boarding of Attendees (before or at an Event) including collection of their names and e-mail addresses and submitting these to the Service (so that they may be sent an invitation to download the App with a username and password), inviting Attendees to download the App, and where you require a unique code for the Event (Event Code), distributing the Event Code for the Event;

(c)the arrangement of any Event venue and the set-up and supply of the information technology and its operating software, the screen(s) and equipment for use of the Service and the display of Content at an Event; 

(d)the procurement, set-up and/or supply of all telecommunications, connections, utilities and services (at sufficient capacities and speeds) for use of the Service and the display of Content at an Event; and

(e)moderation of the Content.

3.5An Attendee who wishes to contribute Content at an Event first needs to download the App to their smartphone (Device) (free of charge, through the Apple app store or Google Play – any minimum software requirements will be stated on the relevant app store) and set up an account on the App. At the Event, subject to entering the relevant Event Code if you have required one (which will be supplied to you in the Event set-up process and which you need to distribute to Attendees), they may contribute Content through the App (subject to fees charged by their mobile communications service providers and any Wi-Fi fees).  It is of course up to the Attendees to bring their Devices to an Event, download the App and contribute Content.  Our App Terms of Use govern the use of the App and contribution of Content by Attendees.

3.6We do not warrant or represent that the Service will always be available, uninterrupted, free from errors, free from transmission alteration or failure, from bugs or loss of data or will not suffer of data failure. The Service is supplied on an “as is”, “as available” basis.

3.7We may suspend, withdraw, discontinue or change all or any part of the Service without notice as long as the changes do not materially affect the nature or quality of the Service.

3.8We have the ability, and reserve the right, to access your account, all Content associated with it, and all Personal Data associated with it: for the purposes of supplying the Service or providing support functions to you; for any other activities contemplated by the Contract or the App Terms of Use; to comply with any legal or regulatory obligation or request; to enforce or apply the Contract or to investigate potential breaches; or to protect our rights, property or safety or that of our customers or others.

4.The Live streaming service

4.1The Live Streaming Service is designed to be used at an Event.  It allows you as the host of an Event, or a party involved in the organisation, promotion or operation of the Event to live stream and record the wedding ceremony and/or any other part of the Event, subject to the restrictions set out in clause 4.5 and 4.6.

4.2The Live Streaming Service is purchased via the Website and is managed and viewed via the App.

4.3To use the Live Streaming Service you first need to download the App to your smartphone (Device) (free of charge, through the Apple app store or Google Play – any minimum software requirements will be stated on the relevant app store) and set up an account on the App.

4.4Before the Event, we will provide you with a four character password (the Live Streaming Password) which your Viewers (as defined in clause 4.5 below) can use to access the live stream of the Event, via the App on the day of the Event.

4.5The Live Streaming may be viewed by guests invited by you as the host, who are not able to attend the Event in person (the Viewers).  You are responsible for inviting the Viewers to attend the Event via the Live Streaming Service and for distributing the Live Streaming Password to the Viewers.  The number of Viewers who are able to simultaneously access and watch the live stream of the Event, shall not exceed the amount stated on the Website, at the time of purchasing the Live Streaming Service, and in the confirmatory email that we send to you.

4.6At the Event, you, or someone you nominate, may use the Live Streaming Service to live stream and record a maximum amount of Viewable Minutes of the Event (the Recording).  For the avoidance of doubt, Viewable Minutes means the combined, cumulative total amount of minutes viewed by all the Viewers during the Event.  The exact amount of Viewable Minutes is stated on the Website, at the time of purchasing the Live Streaming Service, and in the confirmatory email that we send to you. 

4.7The price for the Live Streaming Service is as displayed to you, at the time of purchase, on the Website, and includes VAT (Price).  The Price is due and payable when you sign up to the Live Streaming Service on the Website.  This is a fixed fee and applies to any amount of time the Event is live streamed (from zero minutes to the maximum amount of Viewable Minutes) and to any amount of Viewers (from zero up to the maximum amount stated in clause 4.5).  The Live Streaming Password and the Live Streaming Service will not be made available if payment has not been made in full in advance.

4.8You, or the nominated person recording the live stream at the Event, must download the App and are responsible for supplying the equipment, carrying out the Recording and live streaming of the Event.  Our App Terms of Use govern the use of the App and sets out the rules on what can be recorded and live streamed at the Event.

4.9After the Event, we will provide you with an email link to access and download a ZIP file of the Recording as a video (the Video).  The provision of one copy of the Video to you is included in the Price.  The Video is for your own personal use and must not be sold or otherwise exploited.

4.10It is your sole responsibility to:

(i)obtain prior permission from the wedding venue owner to use the Live Streaming Service to live stream and record the Event at their property;

(ii)ensure that all appropriate licences are in place for the Event to be live streamed and recorded.  This includes, without limitation, a Church Copyright Licence (where applicable), a Limited Online Music Licence and/or a Limited Manufacture Licence from PRS Music, and any other applicable licence (such as a synchronisation licence if applicable);

(iii)obtain permission from all copyright owners to live stream and record their copyrighted work (including, without limitation, works such as music, poetry, speeches and musical performances) at the Event;

(iv)obtain permission from any attendees, who may be included in the recording and live streaming of the Event, to include them in the Recording and live streaming;

(v)carry out the set-up process for the Live Streaming Service and for any additional features you wish to use;

(vi)ensure the procurement, set-up and/or supply of all telecommunications, connections, utilities and services (at sufficient capacities and speeds) are sufficient for use via the Live Streaming Service at the Event; and

(vii)ensure that the content of the Recording is moderated as per the ‘Content Standards’ set out in the App Terms.

4.11We do not warrant or represent that the Live Streaming Service will always be available, uninterrupted, free from errors, free from transmission alteration or failure, from bugs or loss of data or will not suffer of data failure. The Live Streaming Service is supplied on an “as is”, “as available” basis.

4.12We may suspend, withdraw, discontinue or change all or any part of the Live Streaming Service without notice as long as the changes do not materially affect the nature or quality of the Live Streaming Service.

4.13We have the ability, and reserve the right, to access your account, the Recording, and all Personal Data associated with it: for the purposes of supplying the Live Streaming Service or providing support functions to you; for any other activities contemplated by the Contract or the App Terms of Use; to comply with any legal or regulatory obligation or request; to enforce or apply the Contract or to investigate potential breaches; or to protect our rights, property or safety or that of our customers or others.

4.14We provide the Live Streaming Service to you in conjunction with a third party, Nexmo Inc, (whose trading name is Vonage) (Vonage).  Vonage provide the underlying streaming service accessed via the App.  You are solely responsible for adhering to the Vonage Acceptable Use Policy whilst using the Live Streaming Service which can be found at https://www.vonage.com/legal/communications-apis/acceptable-use/.

5.How the contract is formed between you and us

5.1You may only sign up for the Service, the Live Streaming Service or order Products if you are at least 18 years old.  If you are not a consumer, you confirm that you have authority to bind any business on whose behalf you sign up for the Service, the Live Streaming Service or order Products.

5.2Our sign-up and ordering pages will guide you through the steps you need to take to sign up to the Service, the Live Streaming Service or place an order for Products. Our process for ordering Products allows you to check and amend any errors before submitting your order to us. Please take the time to read and check your order at each page of the order process.

5.3Your signing up for the Service, the Live Streaming Service and your placing an order for Products shall in each case constitute an offer to use the Service, the Live Streaming Service or purchase Products (as applicable) on these Terms. This offer will only be accepted once we notify you by e-mail that it has been accepted and, for Products, your payment successfully processed, and only then will a Contract be formed. The signing up for the Service, the Live Streaming Service and each purchase of any Products shall constitute separate Contracts. 

5.4If we are unable to supply you the Products for any reason, we will inform you of this by e-mail. If you have already paid any Products, we will refund you the full amount including any delivery charges as soon as reasonably possible.

6.Availability of Content

6.1After an Event:

(a)the names and e-mail addresses of all Attendees who downloaded the App, analytics data for the Event, and all Content will be made available to you through the Website to export, and to allow you to order any Products incorporating Content, for 6 months;

(b)all Content will be made available to Attendees through the App for 6 months to view or to order any Products incorporating Content;

(c)if the Live Streaming Service is purchased, a Video of the Recording will be emailed to you as set out in clause 4.9.

6.2A back-up copy of all Content and (if applicable) analytics data will be stored for a maximum period of 12 months after an Event, after which it shall be deleted save to the extent we are using or intend to use any Content for our promotional or marketing purposes.  You may instruct us to carry out the deletion sooner if you wish. 

6.3A back-up copy of the Video will be stored for a maximum period of 3 months after an Event, after which it shall be deleted save to the extent we are using or intend to use the Video for our promotional or marketing purposes.  You may instruct us to carry out the deletion sooner if you wish.

7.The Products

7.1The part of our Website on which orders for Products are placed, the supporting software and service for this online store, and the manufacture and delivery of the Products themselves, are all supplied to us by Kite Tech Ltd, trading as Kite.ly.  More information on Kite.ly may be found at their website https://www.kite.ly/.

7.2The images of samples of Products on the Website are for illustrative purposes only. Although we have made every effort to display the colours accurately, we cannot guarantee that your computer’s display of the colours accurately reflect the colour of the Products. The Products may vary slightly from those images. Although we have made every effort to be as accurate as possible, all sizes, weights, capacities, dimensions and measurements indicated on the Website have a 3% tolerance.

7.3The packaging and presentation of the Products may vary from that shown on images on the Website.

7.4We are not responsible for the quality of images you select, upload or provide for inclusion in the Products. Typically the better the quality and resolution, the better the print. You are also responsible the resizing, cropping or other editing of the images.

7.5You should inspect the Products immediately on receipt. If the Products are faulty or mis-described, you may return them and we will refund the price of the Products in full, together with any applicable delivery charges, and any reasonable costs you incur in returning the item to us. We will refund you on the credit card or debit card used by you to pay as soon as possible and no later than 14 days after the day on which we receive the Products back from you or, if earlier, the day on which you provide us with evidence that you have sent the Products back to us.

7.6If you are a consumer, we are under a legal duty to supply Products that are in conformity with this Contract and you have legal rights in relation to Products that are faulty or not as described. These legal rights are not affected by anything in these Terms. Advice about your legal rights is available from your local Citizens' Advice Bureau or Trading Standards office.

8.Price of Products

8.1The price of the Products you choose will be as quoted on the Website at the time you submit your order. 

8.2Prices may change from time to time, but changes will not affect any order you have already placed.

8.3The price of a Product does not include delivery charges. Our delivery charges are as advised to you during the check-out process, before you confirm your order.

8.4Whether the price of any Products includes or excludes VAT (where applicable) will be stated on the Website at the time you submit your order.  Any VAT charged will be at the applicable current rate chargeable in the UK for the time being.

9.How to pay

9.1You can only pay for Products using a debit card or credit card. We accept the following cards: Visa, MasterCard, Electron and Maestro.

9.2Payment for the Products and all applicable delivery charges (as applicable) is required on placing your order.

10.Cancellations (consumer customers only)

10.1If you are a consumer, and the Contract is for the supply of the Service and/or the Live Streaming Service:

(a)You have a legal right to cancel the Contract during the period starting on the date on which we e-mail you to confirm our acceptance of your sign-up and ending 14 days after that date.  This means that during the 14-day period, if you change your mind or decide for any other reason that you do not want to receive the Service and/or the Live Streaming Service (as applicable), you can notify us of your decision to cancel the Contract;

(b)However, if you access the Service and/or the Live Streaming Service (being a supply of digital content) by commencing the set-up process for an Event within the 14-day period following our acceptance of your sign-up, the right to cancel will be lost (and you will have been required to consent to such supply and acknowledge the loss of the right to cancel on signing up);

(c)To cancel the Contract (before you have accessed the Service and/or the Live Streaming Service), you just need to let us know that you have decided to cancel. The easiest way to do this is to e-mail us at eventsupport@scripin.com, giving your name and order details, and stating your wish to cancel. You can also cancel the Contract by sending this form to us.  Instructions on how to send it to us may be found on the form.  A link to the website cancellation form will be included in our order acceptance e-mail.

10.2If you are a consumer, and the Contract is for Products, you have no right to cancel it (whether under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 or otherwise) as the Products are of a personalised nature and/or made to your specification, and we may have begun to fulfil your order.

11.Delivery of Products

11.1We will provide you with an estimated delivery date for any Products, which will be within 30 days after the date of your order confirmation. Occasionally our delivery to you may be affected by an event outside our control – see clause 17 for what this means.

11.2Delivery of an order shall be completed when we deliver the Products to the address you gave us and the Products will be your responsibility from that time.

11.3If no one is available at your address to take delivery and the Products cannot be posted through your letterbox, a note will be left informing you of how to rearrange delivery or collect the Products from a local depot. If, after a failed delivery to you, you do not re-arrange delivery or collect them from a delivery depot, we will contact you for further instructions and may charge you for storage costs and any further delivery costs.

11.4If, despite our reasonable efforts, we are unable to contact you or re-arrange delivery or collection we may end the Contract.  We will refund any money you have paid in advance for Products but we may deduct or charge you reasonable compensation for the net costs we will incur as a result of your breaking the Contract.

12.International delivery

12.1We deliver to the following countries, but these are subject to change and you should check with help@scripin.com: Albania, Algeria, Andorra, Angola, Antigua and Barbuda, Argentina, Armenia, Australia, Austria, Azerbaijan, Bahamas, The Bahrain, Bangladesh, Barbados, Belarus, Belgium, Belize, Benin, Bolivia, Bosnia and Herzegovina, Botswana, Brazil, Brunei, Bulgaria, Burkina Faso, Burma, Burundi, Cambodia, Cameroon, Canada, Cape Verde, Chile, China, Colombia, Costa Rica, Cote d'Ivoire, Croatia, Cuba, Cyprus, Czech Republic, Denmark, Dominican Republic, Ecuador, Egypt, El Salvador, Equatorial Guinea, Estonia, Ethiopia, Fiji, Finland, France, Georgia, Germany, Ghana, Greece, Grenada, Hong Kong, Hungary, Iceland, India, Indonesia, Ireland, Israel, Italy, Jamaica, Japan, Jordan, Kuwait, Liechtenstein, Lithuania, Luxembourg, Latvia, Macau, Macedonia, Madagascar, Malaysia, Maldives, Mali, Malta, Mauritius, Mexico, Moldova, Monaco, Montenegro, Morocco, Mozambique, Netherlands, New Zealand, Nigeria, North Korea, Norway, Oman, Philippines, Poland, Portugal, Paraguay, Peru, Qatar, Romania, Russia, Saudi Arabia, Senegal, Serbia, Singapore, Slovakia, Slovenia, South Africa, South Korea, Spain , Sweden, Switzerland, Thailand, Turkey, Ukraine, United Arab Emirates, United Kingdom, Uruguay.

12.2If you order Products for delivery to one of these countries, your order may be subject to import duties and taxes which are applied when the delivery reaches that country.  Please note that we have no control over these charges and we cannot predict their amount.  You will be responsible for payment of any such import duties and taxes. Please contact your local customs office for further information before placing your order.

12.3You must comply with all applicable laws and regulations of the country for which the Products are destined.  We will not be liable or responsible if you break any such law.

13.Your obligations

13.1You:

(a)shall ensure that the information in the sign-up process and any order is complete and accurate;

(b)keep any user password confidential and not disclose this to any third party or disclose any Event Code or Live Streaming Password to anyone other than Attendees or Viewers at the Event;

(c)shall be responsible for the matters specified in clause 3.4, 4.8, 4.10 and 4.14;

(d)warrant that you are the owner or licensee of any content or material that you upload to the Service or live stream via the Live Streaming Service (in the set-up process for an Event or otherwise) and that it does not infringe the intellectual property rights of any third party or the sections on “Contributing Content to the Service” and “Content Standards” in our App Terms of Use;

(e)shall obtain and maintain all necessary licences, permissions and consents which may be required for the Service and/or the Live Streaming Service to be supplied for an Event and for hosting the Event itself;

(f)shall obtain all necessary licences, permissions and consents which may be required for you to order, have manufactured, receive or use the Products, including (without limitation) to use any Content to be used in such Products; and

(g)shall comply with all applicable laws, statutes, regulations and codes from time to time in force in relation to the performance of your obligations under the Contract, the use of the Service, the Live Streaming Service or ordering or use of the Products, and the content and administration of any competitions or prize promotions using the Service and/or the Live Streaming Service.

13.2You agree to indemnify us against (meaning you are responsible for) all costs, claims, damages, fines, penalties or expenses (including but not limited to any direct, indirect or consequential losses, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis)) incurred by us or for which we may become liable due to any breach by you of any of sub-clauses 13.1(d) to (g) (inclusive) and/or clause 15.2.

13.3Please note that the Content Standards in our Acceptable Use Policy apply to any Content you select, upload or provide for inclusion in the Products. We reserve the right to refuse any order or cancel any Contract for Products where we believe it does not comply with those Content Standards.

13.4Please refer to the section entitled “Contributing Content to the Service” in our App Terms of Use to note the terms of the limited licence granted to you by Attendees that have contributed Content in relation to other use of their Content. 

14.Data Protection

14.1In this clause 14:

(a)the terms controller, personal data and processing have the meanings given to them in the Data Protection Legislation in force at the time);

(b)Data Protection Legislation means all legislation and regulatory requirements in force from time to time relating to the use of personal data and the privacy of electronic communications, including, without limitation (i) any data protection legislation from time to time in force in the UK including the Data Protection Act 2018 or any successor legislation, as well as (ii) the General Data Protection Regulation ((EU) 2016/679) and any other directly applicable European Union regulation relating to data protection and privacy (for so long as and to the extent that the law of the European Union has legal effect in the UK).

14.2In respect of the processing of any personal data of Attendees or in any Content contributed by Attendees (Personal Data) to the extent it is required or desirable for the provision of the Service and/or the Live Streaming Service in relation to an Event and supply of Products (Purpose), you (or the person(s) on whose behalf you are acting, whose consent you warrant you have obtained to enter into the Contract) and we are joint controllers.  We are the sole controller in respect of any other processing of personal data described in our Privacy Policy (Our Own Processing) to which you give your consent.

14.3You acknowledge that we have the right to delete any Personal Data (or Content containing Personal Data) where we are under a legal obligation to do so including, without limitation, where an Attendee lawfully requires us to delete Personal Data about them.

14.4We warrant that we, and you warrant that you (and/or any person(s) on whose behalf you are acting), will process the Personal Data in compliance with all Data Protection Legislation.  In particular, without limitation, you warrant that you (and/or any person(s) on whose behalf you are acting) have the consent of all Attendees whose personal data you supply to us to collect the Personal Data, disclose it to us and to process it with us for the Purpose, or are otherwise lawfully entitled to do so.

14.5You agree to indemnify us against (meaning you are responsible for) all costs, claims, damages, fines, penalties or expenses (including but not limited to any direct, indirect or consequential losses, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis)) incurred by us or for which we may become liable due to any breach by you of clause 14.3 or, where applicable, any claim by an Attendee arising out of in connection with such a breach.

14.6Clauses 14.7 and 14.8 apply unless you are an individual processing the Personal Data for the Purpose in the course of a purely personal activity.

14.7We warrant that we, and you warrant that you (and/or any person(s) on whose behalf you are acting), have in place technical and organisational measures to protect against unauthorised or unlawful processing of the Personal Data and against accidental loss or destruction of, or damage to, the Personal Data, appropriate to the harm that might result from the unauthorised or unlawful processing or accidental loss, destruction or damage and the nature of the data to be protected, having regard to the state of technological development and the cost of implementing any measures.

14.8We and you (and/or any person(s) on whose behalf you are acting) shall assist each other on reasonable request in complying with all applicable requirements of the Data Protection Legislation, but only in relation to the Personal Data. In particular, each party shall:

(a)promptly inform each other about the receipt of any data subject access request or exercise of rights under the Data Protection Legislation and provide each other with reasonable assistance in complying with it;

(b)notify the other party immediately on becoming aware of any breach of the Data Protection Legislation; and

(c)ensure compliance, and assist each other in complying, with our obligations under the Data Protection Legislation with respect to breach notifications.

15.Intellectual property rights

15.1We are the owner or the licensee of all intellectual property rights in the App, the Service, the Live Streaming Service and the Video.  Those works are protected by laws and treaties around the world.  Scripin is a registered trade mark in the UK, EU and USA.  All such rights are reserved.  

15.2During the term of the Contract, you may use the Service and the Live Streaming Service (if applicable) on a limited, personal, non-exclusive, non-transferrable, non-sublicensable basis  for the purposes set out in clauses 3.1, 3.3, 3.4, 4.1, 4.5 and 4.6 (as applicable) and for no other purpose.

15.3You grant us a worldwide, non-exclusive, sub-licensable, perpetual, royalty-free licence (without requiring any further consent) to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute and disclose to third parties in any media or distribution method your name, logo or brand (if applicable), the name and type of the Event and, to the extent necessary, any Content, for our promotional and marketing purposes.

16.Viruses

16.1We do not guarantee that the Website, the Service and the Live Streaming Service will be secure or free from bugs or viruses. You are responsible for configuring your information technology and computer programmes in order to use the Service and the Live Streaming Service. You should use your own virus protection software.

16.2You may not:

(a)Knowingly transmit any data, send or upload any material to the Service, the Live Streaming Service or the Website that contains viruses, Trojan horses, worms, logic bombs, time-bombs, keystroke loggers, spyware, adware or any other harmful or malicious programs or similar computer code designed to adversely affect the operation of any computer software or hardware;

(b)Copy, disassemble, decompile or reverse engineer, or otherwise attempt to derive any source code or underlying ideas or algorithms of the underlying software of  any part of the Website, the Service or the Live Streaming Service or the relevant software (except to the limited extent permitted by law), or alter, modify, translate or otherwise create any derivative works of any part of the Service or Live Streaming Service; or

(c)Access without authority, attempt to gain access to, interfere with, damage or disrupt:

(i)any part of the Website, the Service or the Live Streaming Service;

(ii)any equipment or network on which the Service or the Live Streaming Service or its data is stored;

(iii)any software used in the provision of the Website, the Service or the Live Streaming Service; or

(iv)any equipment or network or software owned or used by any third party.

17.Our liability to you

17.1Whilst our App Terms of Use contain sections on Prohibited Uses and Content Standards and we may take action against Attendees who infringe these sections, we do not moderate the Service or the Live Streaming Service.  We are not liable for any Attendee infringing these sections, for any Content that infringes our Content Standards or where any such infringing Content is displayed by you at the relevant Event or on the Recording of the live stream of the Event.

17.2Nothing in these Terms limits or excludes our liability for:

(a)death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors;

(b)fraud or fraudulent misrepresentation;

(c)if you are a consumer, breach of your legal rights in relation to the Products including the right to receive Products which are: as described and match information we provided to you and any sample or model seen or examined by you; of satisfactory quality; fit for any particular purpose made known to us; and

(d)if you are a business, breach of the terms implied by section 12 of the Sale of Goods Act 1979 (title and quiet possession); or

(e)defective products under the Consumer Protection Act 1987.

17.3In any case:

(a)We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer hardware or software, data or other proprietary material due to your use of the  Service or the Live Streaming Service;

(b)We have taken reasonable steps to ensure the currency, availability, correctness and completeness of the information contained on the Website, but this is provided on an “as is”, “as available” basis and we give no warranty or representation about such information;

(c)We assume no responsibility for the content of websites or applications linked through the Service, the Live Streaming Service or the Website. Such links should not be interpreted as an endorsement by us of them. We will not be liable for any loss or damage that may arise from your use of them;

(d)We will not be liable for any loss or corruption of Content or the Video.

17.4If you are a consumer:

(a)If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our negligence (but not unforeseeable loss). Loss or damage is foreseeable if it is an obvious consequence of our breach or if it was contemplated by you and us at the time we entered into the Contract;

(b)We only supply the Service and the Live Streaming Service for private use.  You agree not to use the Service and/or the Live Streaming Service for any commercial, business or resale purposes and we have no liability to you for: loss or corruption of any data, information or software; loss of profits; loss of business; business interruption; or loss of business opportunity;

17.5If you are a business:

(a)We only supply the Service, the Live Streaming Service and the Products for the use by your business (as a host of an Event or a party involved in the organisation, promotion or operation of an Event);

(b)Subject to clause 17.2, we will under no circumstances whatever be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with the Contract for:

(i)any loss of profits, sales, business, or revenue;

(ii)loss or corruption of data, information or software;

(iii)loss of business opportunity;

(iv)loss of anticipated savings;

(v)loss of goodwill; or

(vi)any indirect or consequential loss;

17.6Subject to clause 17.2, our total liability to you in respect of all losses arising under or in connection with the Contract, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed:

(a)if the Contract is for the Service, £100;

(b)if the Contract is for the Live Streaming Service, the Price (as described in clause 4.7);

(c)if the Contract is for the Products, the price of the Products and any delivery charges.

17.7Any representation, condition or warranty that might be implied or incorporated into these Terms by statute, common law or otherwise is excluded to the fullest extent permitted by law. In particular, we will not be responsible for ensuring that the Service, the Live Streaming Service or the Products are suitable for your purposes.

18.Events outside our control

18.1Acts or events beyond our reasonable control include (without limitation) severe weather, flood, fire, explosion, strikes, lock-outs, industrial action, riot, terrorism, war, act of God, interruption or failure of telecommunications networks or utility service, traffic congestion or transportation issues, or failure or non-performance by our suppliers.

18.2We will not be liable or responsible for:

(a)any decision not to hold an Event; or

(b)an Event (in full or in part) not happening due to any act or event beyond our reasonable control; or

(c)an inability to use all or any part of the Service and/or the Live Streaming Service at an Event due any act or event beyond our reasonable control.

18.3We will not be liable or responsible for any inability to use, or issues in using, all or any part of the Service and/or the Live Streaming Service at an Event that results from any failure to meet your responsibilities under clause 3.4, 4.8 and 4.10.

18.4We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a Contract for Products due any act or event beyond our reasonable control.  If such an act or event takes place that affects or delays the performance of our obligations under a Contract for Products:

(a)we will contact you as soon as reasonably possible to notify you and we will take reasonable steps to minimise the effect of the delay; and

(b)our obligations under a Contract will be suspended and the time for performance of our obligations will be extended for the duration of the act or event. Where the act or event affects our delivery of Products to you, we will arrange a new delivery date with you after the act or event is over.

18.5You may cancel a Contract for Products affected by such an act or event which has continued for more than 30 days. To cancel please contact us. If you opt to cancel, you will have to return (at our cost) any relevant Products you have already received and we will refund the price you have paid, including any delivery charges.

19.Communications between us

19.1When we refer, in these Terms, to "in writing", this will include e-mail.

19.2Any notice or other communication given by you to us, or by us to you, under or in connection with the Contract shall be in writing and shall be delivered personally, sent by pre-paid first class post or other next working day delivery service or e-mail.

19.3A notice or other communication shall be deemed to have been received: if delivered personally, when left at our registered office; if sent by pre-paid first class post or other next working day delivery service, at 9.00 am GMT on the second working day after posting; or if sent by e-mail, one working day after transmission.

19.4The provisions of this clause 19 shall not apply to the service of any proceedings or other documents in any legal action.

20.Other important terms

20.1We may terminate the Contract without notice or liability to you if: (a) you commit a material breach of these Terms; (b) you repeatedly breach these Terms; (c) you create any potential legal exposure for us whatsoever (d) any event occurs, proceeding is taken, order or petition is made, resolution is passed, or notice is given for any of the following events: (i) if you are a company, your winding up or the appointment of an administrator, receiver or administrative receiver in respect of your affairs, business, property, assets and/or undertaking; (ii) if you are an individual, your bankruptcy, or in the event of your death; (iii) in either case, you suspend payment of your debts as they fall due, threaten to do so, or are deemed unable or having no reasonable prospect of paying your debts, or you make an arrangement or compromise with your creditors.

20.2We will determine, in our discretion, whether any of the matters referred to in clause 20.1(a), (b) or (c) has occurred.  If we determine any has occurred, we may suspend or terminate your right to use the Service and/or the Live Streaming Service without notice.  This may include the deletion or deactivation of your account and/or the suspension or termination of the ability of Attendees to use the Service and/or the Live Streaming Service at an Event, whether by disabling the Event Code, the Live Streaming Password or account, and/or the deletion of your Content and the Video, in each case whether immediate, temporary or permanent. 

20.3In the event of termination of the Contract: (a) where applicable, your right to use the Service and/or the Live Streaming Service will automatically terminate; (b) where applicable, we may terminate the ability of Attendees to use the Service at the Event, whether by disabling the Event Code or account; (c) where applicable, we may terminate the ability of Viewers to watch the Recording of the Event; and (d) termination shall not affect any rights, remedies, obligations or liabilities of the parties that have accrued up to the date of termination.

20.4Any provision of these Terms that expressly or by implication is intended to come into or continue in force on or after termination or expiry of the Contract (including clauses 15 (Intellectual property rights), 17 (Limitation of liability), 19 (Communications between us), and 20.2 to 20.12 (inclusive)) shall remain in full force and effect.

20.5We may transfer our rights and obligations under a Contract, but this will not affect your rights or our obligations under these Terms. You may not assign or transfer any of your rights or obligations under a Contract.

20.6This Contract is between you and us. No other person shall have any rights to enforce any of its terms other than any member of our group, which means our subsidiaries, our ultimate holding company and its subsidiaries, as defined in section 1159 of the Companies Act 2006.

20.7If any provision or part-provision of these Terms is or becomes invalid, illegal or unenforceable, it shall be deemed modified or deleted to the minimum extent necessary to make it valid, legal and enforceable without affecting the validity and enforceability of the rest of these Terms.

20.8If we fail to insist that you perform any of your obligations under these Terms, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.

20.9These Terms and any document expressly referred to in them constitute the entire agreement between you and us and supersede and extinguish all previous agreements, promises, assurances, warranties, representations and understandings between us, whether written or oral, relating to their subject matter. You acknowledge that in entering into this Contract you do not rely on any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these Terms or any document expressly referred to in them.

20.10These Terms are governed by English law. This means a Contract and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) will be governed by and construed in accordance with the law of England and Wales.

20.11If you are a consumer, you and we both agree that the courts of England and Wales will have non-exclusive jurisdiction. However, if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are a resident of Scotland, you may also bring proceedings in Scotland. You may also submit a complaint through the EU’s Online Dispute Resolution platform but this shall not prevent either of us commencing or continuing court proceedings in relation to any matter. 

20.12If you are a business, you and we both agree that the courts of England and Wales will have exclusive jurisdiction.

• you use the Scripin Events mobile application software (App) once you have downloaded a copy on to your smartphone or tablet (Device);

1. The data we collect about you

The Service may only be used at, or in relation to, an Event.  The purposes of the Service include the sharing of photos and videos of the Event and its attendees between its attendees and (where permitted) on social media, the commenting on and interaction with such media, the sharing of that media and other content at the Event on screens at the Event (which may include display with sponsored material), the running of competitions at the Event (where applicable), the live streaming of the Event, the collation of that media and its delivery to the Event Controller after the Event, and the ordering of Products from us.

Personal data, or personal information, means any information about an individual from which that person can be identified. It does not include data where the identity has been removed (anonymous data).

We may collect, use, store and transfer different kinds of personal data about you which we have grouped together as follows:

• Identity/Contact Data includes name, e-mail address, telephone number, password and profile photograph.
• Event Data includes the date and location of the Event.
• Location Data includes the location at which media or other content is contributed. If you wish to permit this feature, you will be asked to consent to your data being used for this purpose. You can withdraw your consent by updating the relevant settings on your Device.
• Content Data includes photos, videos and live streaming recordings which may identify you and any other information made in relation to such content, such as likes or comments (whether made by you or by others about content identifying you), and the time and date the media/content was contributed.
• Additional Data includes a record of any correspondence if you contact us, and information you provide when entering into any competitions or promotions we notify you about or when completing any surveys we carry out for research purposes, if you choose to do so.
• Financial Data includes bank account and payment card details.
• Transaction Data includes details about payments to and from you and details of Products you have purchased from us.
• Technical Data includes internet protocol (IP) address, your login data, browser type and version, time zone setting and location, browser plug-in types and versions, operating system and platform, and other technology on the devices you use to access this website.
• Device Data includes information about the Device, including, where available, the Device’s unique identifiers and application numbers, operating system and mobile network information as well as the Device’s telephone number. We may associate Device information with Identity/Contact Data and will treat the combined information as personal data in accordance with this policy for as long as it is combined.
• Usage Data includes a record of your visit to and your activity on the Site or the App or when you use the Service, such as:
  • your contribution or viewing of media or other content in relation to an Event;
  • the extent to which you use certain features of the Service or move around our Product pages;
  • response times, download errors, and length of visits to certain pages;
  • traffic data, weblogs, information in server logs, other communication data and the resources and pages that you access;
  • information in server logs in relation to when you use the Service or view content on it.
• Marketing and Communications Data includes your preferences in receiving marketing from us and our third parties and your communication preferences.

We also collect, use and share Aggregated Data such as statistical or demographic data for any purpose. Aggregated Data could be derived from your personal data but is not considered personal data in law as this data will not directly or indirectly reveal your identity. For example, we may aggregate your Usage Data to calculate the percentage of users accessing a specific feature. However, if we combine or connect Aggregated Data with your personal data so that it can directly or indirectly identify you, we treat the combined data as personal data which will be used in accordance with this policy.

We do not intentionally collect any Special Categories of Personal Data about you (this includes details about your race or ethnicity, religious or philosophical beliefs, sex life, sexual orientation, political opinions, trade union membership, information about your health, and genetic and biometric data). Nor do we collect any information about criminal convictions and offences.  To the extent that you upload any media or content that contains any Special Categories of Personal Data, you explicitly consent to the processing of that data in accordance with this policy and/or confirm that the person whom that data is about has consented to it being processed. 

If you fail to provide personal data

Where we need to collect personal data by law, or under the terms of a contract we have with you, and you fail to provide that data when requested, we may not be able to perform the contract we have or are trying to enter into with you (for example, to provide you with Products). In this case, we may have to cancel a Product you have ordered and we will notify you if this is the case at the time.

1. How is your personal data collected?

We use different methods to collect data from and about you including through:

• Direct interactions with you. You may give us your Identity/Contact, Event, Content, Additional and Financial Data by using the Service, placing orders with us, or by corresponding with us by post, phone, email or otherwise. This includes personal data you provide when you:

• create an account on the Site or the App;
• order Products from us;
• use the Service;
• request marketing to be sent to you;
• enter a competition, promotion or survey; or
• give us feedback or contact us.

You confirm that you have the consent of any attendee to share media or content featuring them or information about them.

• Direct interactions with others.

• An Event Controller may give us your Identity/Contact Data when they set up an Event using the Service.
• Other attendees at the Event may contribute content when using the Service containing your Identity/Contact and Content Data.
• An Event Controller may record Content Data as part of a live streaming recording at the Event.

• Automated technologies or interactions. As you interact with the Site and App, we will automatically collect Location, Technical, Device and Usage Data. We collect this personal data by using cookies, server logs and other similar technologies. Please see our Cookie Policy [CH1] for further details on the cookies we use.
• Third parties or publicly available sources. We will receive personal data about you from various third parties such as those set out below:

• Technical Data from analytics providers such as Google and advertising networks such as Facebook, Instagram, Pinterest and Google based in the EU.
• Contact, Financial and Transaction Data from providers of technical, payment and delivery services such as Stripe based inside the EU.

1. How we use your personal data

We will only use your personal data when the law allows us to. Most commonly, we will use your personal data in the following circumstances:

• Where we need to do so to perform the contract we are about to enter into or have entered into with you.
• Where it is necessary for our legitimate interests (or those of a third party) and your interests and fundamental rights do not override those interests.
• Where we need to comply with a legal obligation we are subject to.

Generally, we do not rely on consent as a legal basis for processing your personal data although we will get your consent before sending marketing communications to you via email or text message or sharing your data with third parties to do so. If you disable or refuse cookies, please note that some parts of the Site or App may become inaccessible or not function properly. Change of purpose

We will only use your personal data for the purposes for which we collected it, unless we reasonably consider that we need to use it for another reason and that reason is compatible with the original purpose. If you wish to get an explanation as to how the processing for the new purpose is compatible with the original purpose, please contact us at any time.

If we need to use your personal data for an unrelated purpose, we will notify you and we will explain the legal basis which allows us to do so.

Please note that we may process your personal data without your knowledge or consent, in compliance with the above rules, where this is required or permitted by law.

1. Disclosures of your personal data

Sharing using the Service

Media and content contributed using the Service is designed to be shared with other people at the Event, whether through the Service and/or on screens at the Event.  You should ensure that you do not contribute any media or content that you do not want (or any person it relates to does not want) to be seen or shared by other people at the Event or shared more widely. 

Your Content Data may be shared or copied by other attendees at the Event and by those they have shared it with, including on social media, and via a live stream recording of the Event.  It will also be available for any attendee or the Event Controller to order Products incorporating that data.

Your Identity/Contact and Content Data will be available after the Event to, and for export by, the Event Controller. We may also provide the Event Controller with analytics relating to the use of the Service at the Event and Products purchased, but this contains no personal data.

Disclosure

We may share your personal data with the parties set out below for the purposes set out in the table above.

• Service providers acting as processors based in the UK who provide us with software, IT and system administration services, and who manufacture and deliver Products on our behalf (including subcontractors of those we engage with).
• Professional advisers acting as processors or joint controllers including lawyers, bankers, auditors and insurers based in the UK who provide consultancy, banking, legal, insurance and accounting services.
• HM Revenue & Customs, regulators and other authorities acting as joint controllers based in the UK who require reporting of processing activities in certain circumstances.
• Third parties to whom we may choose to sell, transfer or merge parts of our business or our assets. Alternatively, we may seek to acquire other businesses or merge with them. If a change happens to our business, then the new owners may use your personal data in the same way as set out in this privacy policy.

We require all third parties to respect the security of your personal data and to treat it in accordance with the law. We do not allow our third-party service providers to use your personal data for their own purposes and only permit them to process your personal data for specified purposes and in accordance with our instructions.

We have put in place appropriate security measures to prevent your personal data from being accidentally lost, used or accessed in an unauthorised way, altered or disclosed. In addition, we limit access to your personal data to those employees, agents, contractors and other third parties who have a business need to know. They will only process your personal data on our instructions and they are subject to a duty of confidentiality.

We have put in place procedures to deal with any suspected personal data breach and will notify you and any applicable regulator of a breach where we are legally required to do so.

How long will you use my personal data for?

We will only retain your personal data for as long as reasonably necessary to fulfil the purposes we collected it for, including for the purposes of satisfying any legal, regulatory, tax, accounting or reporting requirements. For example, by law we have to keep basic information (including Contact/Identity, Financial and Transaction Data) for six years after someone ceases to be a customer, for tax purposes. We may retain your personal data for a longer period in the event of a complaint or if we reasonably believe there is a prospect of litigation in respect to our relationship with you.

You may delete any media/content you have contributed relating to an Event using the App at any time during the specified period that the Service is ‘live’ for the Event and you have access to it.  This will mean that other attendees will no longer be able to see or use the relevant media/content through the Service (although it may have already been shared or copied by any attendee).  It will still, however, be available to the Event Controller. It may still exist on a back-up copy for the Service but this will not be available to others.  After your access to the Event has ended, you will not be able to delete your media/content.

Once the Event has ended, your media/content, and any Content Data in the media/content other attendees have contributed, will available with that of other attendees (excluding media/content that has been deleted):

• for export by the Event Controller or for the Event Controller to order Products incorporating it, for a period of 6 months after the Event;
• (excluding media/content that has been deleted) for other attendees of the Event to view and order Products incorporating it for a period of 6 after the Event.

A back-up copy of all data in relation to an Event shall be held by us for 12 months (or such shorter period required by the Event Controller) and then deleted.

If you are just an attendee of the Event, you may delete the App, which will invalidate your account. You may delete your account by contacting us at support@scripin.com. In either case, your Identity/Contact Data will still be available with any media/content you have contributed, to the Event Controller and other attendees during and after the Event. Any media/content you have previously deleted will only be available to the Event Controller. We may retain your Identity/Contact Data for the prevention or investigation of any crime or for the marketing purposes you have consented to in this policy.  The information may also still exist on a back-up copy for the Service, but this will not be available to others.

Some information cannot be deleted, for example, if your media/content or information has been re-shared with others (for example, on social media) or was copied or stored by others. 

In some circumstances you can ask us to delete your data: see below for further information.

In some circumstances we will anonymise your personal data (so that it can no longer be associated with you) for research or statistical purposes, in which case we may use this information indefinitely without further notice to you.

1. Your legal rights

Under certain circumstances, you have rights under data protection laws in relation to your personal data. These are set out below.  If you wish to exercise any of the rights set out above, please contact us.

No fee usually required

You will not have to pay a fee to access your personal data (or to exercise any of the other rights). However, we may charge a reasonable fee if your request is clearly unfounded, repetitive or excessive. Alternatively, we could refuse to comply with your request in these circumstances.

What we may need from you

We may need to request specific information from you to help us confirm your identity and ensure your right to access your personal data (or to exercise any of your other rights). This is a security measure to ensure that personal data is not disclosed to any person who has no right to receive it. We may also contact you to ask you for further information in relation to your request to speed up our response.

Time limit to respond

We try to respond to all legitimate requests within one month. Occasionally it could take us longer than a month if your request is particularly complex or you have made a number of requests. In this case, we will notify you and keep you updated.

Your legal rights

Subject to specific conditions or exemptions, you have the right to:

• Request access to your personal data. This enables you to receive a copy of the personal data we hold about you and to check that we are lawfully processing it.
• Request correction of the personal data that we hold about you, if it is incomplete or inaccurate.
• Request erasure of your personal data, where there is no good reason for us continuing to process it. You also have the right to ask us to delete or remove your personal data where you have successfully exercised your right to object to processing (see below), where we may have processed your information unlawfully or where we are required to erase your personal data to comply with local law.
• Object to processing of your personal data where we are relying on a legitimate interest (or those of a third party) and you feel it impacts on your fundamental rights and freedoms. You also have the right to object where we are processing your personal data for direct marketing purposes.
• Request restriction of processing of your personal data. This enables you to ask us to suspend the processing of your personal data in the following scenarios:
  • If you want us to establish the data's accuracy.
  • Where our use of the data is unlawful but you do not want us to erase it.
  • Where you need us to hold the data even if we no longer require it as you need it to establish, exercise or defend legal claims.
  • You have objected to our use of your data but we need to verify whether we have overriding legitimate grounds to use it.
• Request the transfer of your personal data to you or to a third party in a structured, commonly used, machine-readable format. Note that this right only applies to automated information which you initially provided consent for us to use or where we used the information to perform a contract with you.
• Withdraw consent at any time where we are relying on consent to process your personal data, for future processing.
